Occassional Lock up...

I have been using a Virtual Image on my work desktop for about a month.
They gave me a new laptop (Dell Lat. D610, 2GHz Centrino, 2GB RAM,
80GBHD 5400rpm, wi-fi802.11g, bluetooth, WinXP SP2) and now the same
Virtual Machine is occassionally locking up.


I installed Virtual Server 2005 and copied over the image's VHD and VNC
from a network/backup share to my local machine (connected to a new VNC
to onboard LAN only). I started up the Virtual Server and it began
hanging every 5-10 seconds, for about 10+- seconds at a time.


I then created a new Virtual Server (used the same VNC as above),
installed the OS, rebooted. It began to have the same problems as my
previous image. I then changed the VNC to "Not Connected", rebooted,
and still got occassional lockups.


I have gone through many postings and confirmed the following:
~ check for Dell SpeedStep (power conserver) - negative, not installed
~ temp. disabled VirusScan
~ tried to change Checksum Offload settings on Host NIC - negative,
setting not present


I have noticed that when the lockup begins, my mouse will not function
but my keyboard will. During file copies from the network (while the
VNC is attached to the onboard LAN) i would get a connection
dropped/bad connection error, then a lock up.


Any ideas?
